TERMS OF USE FOR THE INVENME PORTAL

I. GLOSSARY OF TERMS

For the purposes of this document, the following terms used herein are defined as follows:

  • 1) Administrator, Invenme – Invenme sp. z o.o., located in Łódź, registered in the National Court Register (KRS) under number: 1099786.
  • 2) User Blockade - the blocking of a User by Invenme from using the Portal as a result of the User committing specific violations described in the Terms.
  • 3) Contact Information – data of the Recommendation Submitter or Query Submitter including at least name/company and email address (optionally also telephone number, surname, and company data).
  • 4) Query Form – a form available on the Portal, through which the Query Submitter describes in detail the Property they are seeking to purchase or rent.
  • 5) Property Form – a form available on the Portal through which the User can add information about a Property they wish to rent or sell. Once a Property is added, it is automatically converted into a Recommendation and sent to matching Queries. The Recommendation is created solely based on the data included in the Property Form, and if no matching Queries are found, the Property remains in the system until a suitable Query appears. The Property is also publicly visible through a unique link leading directly to its details.
  • 6) Automatic Matching – the process in which a Property added by the User is automatically matched to Queries on the Portal and can be sent as a Recommendation to Query Submitters whose criteria match the Property's parameters.
  • 7) Message Form – a form available on the Portal through which the Message Sender sends their name, email, phone number, and a message (any content up to 1000 characters) in response to a specific Query from a Query Submitter.
  • 8) Guest – a person using the Portal without an Account or not logged in.
  • 9) Invenme.pl, Portal - an internet portal operated by Invenme at https://www.invenme.pl.
  • 10) Account – an area available after login for the User on the Portal, through which they enter and manage data, allowing for the effective submission of Queries, adding Properties, or sending Messages after activating the Account.
  • 11) Guest Account – an account available after submitting a Query, adding a Property, or sending a Message, without registration, as a Guest User.
  • 12) Property – a part of the land surface constituting a separate object of ownership (land), as well as buildings permanently attached to the land or parts of such buildings, if they constitute a separate object of ownership under special regulations. This category includes, among others, buildings, flats, service premises, land, agricultural properties, and others, which are the subject of a Query, Property, or Recommendation.
  • 13) Data Discovery, Match – mutual exchange – providing the Query Submitter with the contact details of the Recommendation Submitter and the Recommendation Submitter with the contact details of the Query Submitter, as provided by the Users. Data Discovery occurs each time at the request of a User who wants to know it, after prior acceptance of the Recommendation by the Query Submitter. Data Discovery of the Message Sender to the Query Submitter also occurs when a Message is sent. Data Discovery of the Query Submitter to the Message Sender occurs when the first message is sent in response to the Message Sender's Message.
  • 14) Recommendation – a recommendation published on the Portal in the Query Submitter's account in response to a Query. The Recommendation is not publicly visible to all persons using the Portal, only to the Query Submitter and the author of the Recommendation. In the case of a Guest User, the Recommendation is sent via email and is only available to the Query Submitter and the author of the Recommendation through a link protected by a token.
  • 15) Added Property – a Property entered into the system by a User or Guest User via the Property Form. Once added, the Property may be automatically matched to existing Queries on the Portal and sent as a Recommendation to Query Submitters whose criteria match the Property's parameters. The Property is also publicly visible through a direct link to its details.
  • 16) Terms and Conditions – this document, i.e., the Terms and Conditions of the Invenme.pl portal.
  • 17) Registration – the procedure in which the User provides their personal data (name) and contact details (email address) in the registration form and gains access to the full functionality of the Portal via a User Account.
  • 18) Simplified Registration - a procedure in which a Guest User provides their personal data (name) and contact details (email address, phone) in the query form and gains temporary access to selected functionalities of the Portal via a Guest Account.
  • 19) Query Submitter - a User or Guest User who, via the Query Form, submits a Query regarding the Property they are searching for.
  • 20) Property Adder - a User or Guest User who, via the Property Form, adds information about a Property they wish to rent or sell. The Added Property may be automatically matched to Queries on the Portal and become a Recommendation, but this is not guaranteed and may happen later.
  • 21) Service – a service provided by Invenme that allows the User to submit a Query. Other Users can respond to the Query by sending Messages or adding Properties, which, through Automatic Matching, may be sent as Recommendations to Query Submitters.
  • 22) User - a natural person with full legal capacity using the Portal and registered in it. There are two types of Users:
    • a) Individual User - a natural person who is a consumer;
    • b) Business User - a natural person using the Portal as a business operator or representing a business entity or cooperating with or employed by such an entity under any agreement.
    • c) Guest User - a natural person with full legal capacity using the limited functionality of the Portal and not registered in it.
  • 23) Message – any content sent by a Portal user to the Query Submitter. Visible in both the guest account and user account.
  • 24) Message Sender - a User responding to a Query submitted by a Query Submitter by sending a Message via the Message Form available on the Portal.
  • 25) Query - a description of the Property sought by the Query Submitter, submitted on the Portal via the Query Form, which is published on the Portal and visible to all persons using the Portal (including those who are not registered Users).
  • 26) Business Partner - an entity cooperating with the Administrator for the purpose of fulfilling the Queries submitted by Users on the Portal, in particular, real estate agents who receive the Users' Contact Information to the extent necessary to handle the Queries.
  • 27) Data discovery for business purposes - the process of transferring the Contact Information of the Query Submitter to the Business Partner for the purpose of fulfilling the Query, in accordance with the parameters specified by the Query Submitter.

II. GENERAL PROVISIONS

  • 1. The Terms define the rights and obligations of Users using the Invenme portal, as well as the functioning of the Portal.
  • 2. A person using the Portal as a Guest is required to comply with the rules set out in the Terms.
  • 3. All violations of the provisions of these Terms by users, as well as other unlawful behaviors, are prohibited.

III. REGISTRATION AND SIMPLIFIED REGISTRATION

  • 1. Using the full Services offered by the Portal requires creating a User Account on the Portal through registration and activating the Account. It is also possible to use the Portal as a Guest User through simplified registration, which allows limited use of the Services.
  • 2. To register on the Portal and create an Account, the following information is required:
    • a) in the case of an Individual User: the User's name, email address, and password;
    • b) in the case of a Business User: the User's name, company name, email address, and password;

    and selecting the 'Create account' option.

  • 3. For Simplified Registration and creating a Guest Account, the following information is required:
    • a) for an Inquiry Submitter: User's first name, email address, optionally phone number
    • b) for a Message Sender: User's first name, email address, phone number
    • c) for the Property Addressee: the User's first name, e-mail address, telephone number
  • 4. After logging into the Account, it is possible to change the data provided during registration through:
    • a) for an Individual User:
      • - changing the User's first name,
      • - adding the User's last name or phone number;
    • b) for a Business User:
      • - changing the User's first name or company name,
      • - adding the User's last name or phone number and company data such as address, website, email address, tax identification number (NIP), and phone number.
  • 5. To activate the User Account and Guest Account, it is required for the User to submit the first Query or add a Property and confirm the activation link, which will be sent to the User's email inbox.
  • 6. Activating the Account allows full access to the Portal, i.e., effectively submitting Queries, sending Messages, and adding Properties. Activating the Guest Account allows limited access to the Portal, i.e., effectively submitting Queries, adding Properties, and sending Messages, which must each be confirmed by the activation link.
  • 7. A logged-in User has access to submitted queries and recommendations, messages, as well as the 'Favorites' and 'Settings' categories.
  • 8. A Guest User has access to submitted queries, messages, and the 'Settings' category.
  • 9. The User should protect their account access data from third-party access and log out of the Portal after each use.
  • 10. Registration and Simplified Registration on the Portal, as well as activating the User Account and Guest Account, are free of charge.
  • 11. The User is responsible for the accuracy and truthfulness of the data provided during registration on the Portal.
  • 12. The User can delete their Account from the Portal at any time. To do this, click the 'Delete my account' button located in the 'My account' -> 'Settings' tab.

IV. SUBMISSION OF QUERIES

  • 1. A Portal User has the option to submit a Query by clicking the 'Find my home' button, then selecting the relevant category – either for purchasing or renting a Property and choosing the type of Property. This is followed by clicking the 'I want to buy/I want to rent' button and selecting the type of Property.
  • 2. To submit a Query, it is necessary to specify the following data regarding the sought Property:
    • 1) Location,
    • 2) Budget (purchase price or monthly rent amount),
    • 3) Area (house or land),
    • 4) Type of property,
    • 5) Number of rooms,
    • 6) Market (primary/secondary),
    • 7) Rental period.

It is also possible to provide additional, optional data.

  • 3. After filling in the data specifying the Query – by filling in the Query Form – the User is entitled to submit the Query, which, after confirming the Account (which is done after clicking the activation link sent to the User’s email inbox) or the Query is confirmed in the case of submitting an inquiry through Simplified Registration, will be publicly visible on the Portal in the “Queries” tab and on the User’s Account.
  • 4. A publicly visible Query will include data specifying the sought Property and:
    • a) For Individual Users and Guest User – their name;
    • b) For Business Users – their name and company name.
  • 5. Once a Query is submitted, editing it is not possible. To change the data of the Query, it is necessary to end the active Query and submit a new one.
  • 6. The Administrator reserves the right to verify the truthfulness, reliability, and legality, as well as compliance with the Terms of the data posted in the Query. In case of detected irregularities, it is possible to implement the procedure of Blocking the User or canceling or deleting the Query.
  • 7. The Query will be visible on the Portal for 30 days in the case of a Rental Query and 60 days in the case of a Purchase Inquiry from the date of submission, unless the Query Submitter ends it earlier, which will result in its archiving. Ending the Query occurs by clicking the “End Query” button located in the “My Queries” tab on the tile of the specific Query.
  • 8. Ending the Query causes it to be archived along with all Recommendations. The archived Query is not visible on the “Queries” subpage. However, it is still available under an individual link with the “archived” marking. The archived query does not contain information about its creator.
  • 9. The User submitting the Query is responsible for the truthfulness and correctness of the data provided in the Query, and is also obliged to end the Query if it turns out to be outdated.
  • 10. By submitting the Query, the User expresses his/her agreement to transfer the Contact Information of the Business Partner in the area of necessary for the fulfillment of the Query. The data will be used solely for the presentation of the recommendation of the real estate that meets the parameters specified in the Query.

V. ADDING A PROPERTY AND SUBMITTING A RECOMMENDATION

  • 1. A logged-in User or Guest User has the ability to add a Property through the Property Form. Once added, the Property can be automatically matched to relevant Queries on the Portal and sent as a Recommendation to those submitting Queries that match the Property's parameters. A Recommendation on the Portal can only be created by adding a Property through the Property Form.
  • 2. The automatic matching of a Recommendation to a Query is based on the parameters provided in the Property Form. The user submitting the Query receives a notification when their Query is matched with a specific Property.
  • 3. The added Property may not be immediately matched to Queries and will remain in the system until a suitable Query is found that matches its parameters.
  • 4. The user adding the Property is obligated to prepare the Property in an honest manner, in compliance with the Terms of Service and the actual condition of the Property.
  • 5. Required information for the Property includes: title (minimum of 10 characters), location, price/rent amount, and Property size. The user submitting the Recommendation is also entitled to provide additional information.
  • 6. Each time a Property is automatically matched, the user submitting the Query receives an email notification of the Recommendation. The Recommendation is available in the User Account, after logging in under the 'My Queries' tab.
  • 7. Upon creating the Recommendation, the data of the user adding the Property is revealed. The user submitting the Query decides whether to contact the user who added the Property, having access to their contact details, including email address and phone number. The user submitting the Query can also contact the user adding the Property through the 'Send Message' function, which creates a new message thread under the 'Chat' tab.
  • 8. The data provided in the Property must be accurate and must not mislead other Users. Once a Property is added, it cannot be edited. If any information in the Property changes, it must be canceled and a new Recommendation submitted.
  • 9. A Property can be canceled at any time by clicking the 'Delete Property' button located in the 'Properties' tab on the tile of the specific Property.
  • 10. A Property will remain visible on the Portal for 30 days from the date of submission, unless deleted earlier by the user who added the Property. Deleting the Property is done by clicking the 'Delete Property' button in the 'Properties' tab on the user's account.

VI. OBLIGATIONS OF USERS

  • 1. The User uses the Portal at their own risk.
  • 2. The User using the Portal is obligated to comply with the legal requirements applicable to them in terms of informing and advertising their activities. To avoid any doubt, Invenme points out that the content posted on the Portal by Users should be informational in nature and should not constitute unlawful advertising or an unlawful recommendation to use the services of any of the Users.
  • 3. The User is obligated to:
    • a) independently update the data no later than within 14 days from their change;
    • b) ensure special protection of their password access to the Portal;
    • c) use the Portal in accordance with the law, and in particular, may not provide content of an unlawful nature;
    • d) ensure the truthfulness, reliability, legality, and compliance with the Terms of the information posted on the Portal;
    • e) not use vulgar, offensive, or non-informative content in Queries, Messages, Properties and Recommendations.
  • 4. The User is responsible for all actions taken through their account on the Portal.
  • 5. In Queries, Messages, Properties and Recommendations, it is forbidden to:
    • a) post links to other sites;
    • b) use elements of the JavaScript, Java, and other programming languages, except for HTML;
    • c) use HTML elements used to: load and embed other pages, use “cookies”, create forms, and other code violating the integrity of the Portal pages.
  • 6. The User, who has gained access to the personal data of other Users of the Portal, is obliged to keep it confidential and use it only for the purpose in which it was provided.
  • 7. The User submitting the Query agrees to cooperate with the Business Partners in accordance with their purpose, that is, to fulfill the Query for the purpose of purchasing or renting a Property.

VII. COMPLAINTS PROCEDURE

  • 1. Complaints related to the operation and use of the Portal or services available on the Portal can be submitted electronically to the email address [email protected].
  • 2. The complaint should include:
    • a) data of the person submitting the complaint sufficient for contact,
    • b) information sufficient to identify the service to which the complaint relates,
    • c) the content of the complaint itself, the complaint should specify the reason for the complaint and the content of the demand.
  • 3. In the case of a complaint lodged by a person who is an Individual User (i.e. a consumer), the Administrator shall respond to the complaint within 14 days of its receipt. In the response, the Administrator will indicate how the complaint will be handled.
  • 4. Consumers also have the possibility to use judicial and extrajudicial means of handling complaints and pursuing claims, e.g., before an amicable consumer court, operating at the Provincial Inspectorate of Trade Inspection.
  • 5. Additionally, based on Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on the online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC (Regulation on ODR in consumer disputes), consumers have the right to use extrajudicial means of handling complaints and pursuing claims. To take advantage of the opportunity for amicable resolution of disputes, a consumer may use the online dispute resolution platform.

VIII. INTELLECTUAL PROPERTY

  • 1. The Portal is the property of Invenme.
  • 2. The Portal contains or uses copyrighted works, as well as trademarks and other materials, in particular texts, photos, graphics.
  • 3. The proprietary copyright rights to all graphic elements of the Portal, the appearance of the Portal, and other content placed in it, constituting a work within the meaning of the Act of 4 February 1994 on copyright and related rights (“Copyright Law”), belong to Invenme.
  • 4. Any copying, distribution, and making adaptations of the Portal or its individual elements, as well as its appearance as a whole, constituting a work within the meaning of the Copyright Law, without the express written consent of Invenme, constitutes an infringement of the proprietary copyright rights of Invenme resulting in legal liability.
  • 5. From the moment of placing a Query on the Portal, the Query Submitter grants the Administrator an indefinite, free of charge, non-exclusive, territorially unlimited license to use the Query, on the fields of exploitation including dissemination through public display and making available, and multiplication in such a way that everyone can access it at the place and time chosen by them (Internet).

IX. NEWSLETTER

  • 1. The User may consent to subscribe to the newsletter consisting of regularly sending the Administrator’s informational bulletin, commercial information, about promotions, discounts, and changes in functionality of the Portal to the email address provided by the User.
  • 2. The newsletter subscription is made by providing an email address, name, and clicking the “Join the newsletter” button located on the main page of the Portal and marking the appropriate checkbox.
  • 3. The newsletter subscription is voluntary and free of charge, provided for an indefinite period, and the User may unsubscribe at any time by clicking the “Unsubscribe” button located at the end of each email message sent as part of the newsletter.

X. TECHNICAL ISSUES

  • 1. The technical conditions for using the services of Invenme, in particular registration and submission of Queries, are: connection to the Internet and the use of a WWW browser correctly supporting standards: HTML 4.01, CSS, JavaScript, and having access to an email inbox. The technical conditions for using the possibilities of the Mobile Application are: meeting by the teleinformatic equipment used by the User the following minimum technical requirements: access to the Internet, operating system Android 6.0 or iOS 12.
  • 2. Information contained in the system logs may contain various data, e.g., IP address. Invenme uses them exclusively for technical purposes and for collecting general, statistical demographic information. The above data may be made available to authorized entities based on applicable legal provisions in case of infringement of Invenme's rights, an attempt at hacking, or other action to its detriment.
  • 3. The User’s password is encrypted using a method that prevents Invenme from knowing it.

XI. FINAL PROVISIONS

  • 1. Queries published on the Portal are sorted by default by date of addition – from the newest. It is possible to change the sorting by date of addition – from the oldest, and also to filter Queries by the following criteria:
    • - budget,
    • - type of property,
    • - location.
  • 3. The Administrator reserves the right to change the Terms for important reasons.
  • 4. Information about the change of the Terms along with its new content will be provided directly to the User at least 14 days before it comes into effect in the form of an email message. Non-acceptance of the new version of the Terms is synonymous with resignation from using the services of the Portal.
  • 5. The Administrator may temporarily disable the operation of the Portal for the purpose of its modernization, repair of a failure, the need to introduce changes in the way the Portal operates, conducting maintenance, or any other reasons justifying such action. Users will be notified of the planned break in the operation of the Portal by posting an appropriate notice on the main page of the Portal, unless the nature of the work or failure prevents the Administrator from notifying the Users in advance.
  • 6. The Administrator is not liable to Users for actions or omissions of third parties, including other Users.
  • 7. The Terms do not exclude or limit any consumer rights that are granted to them under mandatory legal provisions.
  • 8. The Administrator reserves the right to cooperate with Business Partners for the purpose of fulfilling the Queries submitted on the Portal. Cooperation includes the transfer of the Contact Information of the User to the Business Partner only in the area of necessary for the fulfillment of the Query.
